Welcome to SI Documents ("we," "our," or "us"). By accessing or using our website and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account or using SI Documents, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

SI Documents provides a platform for supplemental instruction programs to manage their operations. The Service allows users to create, store, edit, and share documents such as planning sheets, upload and manage files, manage calendars and scheduling, and utilize other supplemental instruction program management functions. Users may also comment on documents within the Service.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your email account secure, as we use magic links sent to your email for authentication
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the security of the email account associated with your SI Documents account. Since we use magic links for authentication, anyone with access to your email can access your SI Documents account. SI Documents is not liable for any loss or damage arising from unauthorized access to your email account or your failure to protect your account information.

4. User Content

4.1 Your Content

You retain all ownership rights to the documents, files, comments, and other content you create, upload, or submit to the Service ("User Content"). By uploading User Content, you grant SI Documents a non-exclusive, worldwide, royalty-free license to store, display, reproduce, and transmit your User Content solely for the purpose of providing and improving the Service.

4.2 Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to upload and share your User Content
  • Your User Content does not infringe on any third party's intellectual property, privacy, or other rights
  • Your User Content complies with these Terms and all applicable laws

4.3 Prohibited Content

You agree not to upload, create, or share User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Infringes on any patent, trademark, copyright, or other intellectual property rights
  • Contains viruses, malware, or other harmful code
  • Violates any person's privacy or publicity rights
  • Contains false or misleading information
  • Promotes illegal activities or violates any applicable laws or regulations

4.4 Content Removal

We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or that we deem inappropriate, offensive, or harmful, at our sole discretion.

5. Comments

Users may post comments on documents. All comments are subject to the same content restrictions as other User Content. We reserve the right to remove comments that violate these Terms or are otherwise inappropriate.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any automated means (including bots, scrapers, or spiders) to access the Service without our express written permission
  • Upload or transmit any material that contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of the Service
  • Harass, abuse, or harm another person or group
  • Use the Service for any commercial purpose without our prior written consent

7. Payment

Payment for the Service is handled by a third-party payment processor, not directly through SI Documents. By using the Service, you agree to comply with the payment terms and policies of the applicable payment processor. SI Documents is not responsible for any issues related to payment processing, billing disputes, or refunds, which must be addressed through the payment processor.

8. Intellectual Property

8.1 SI Documents Property

The Service, including its design, functionality, text, graphics, logos, and software, is owned by SI Documents and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

8.2 User Content

As stated in Section 4.1, you retain ownership of your User Content. SI Documents does not claim ownership of any documents, files, or comments you create or upload.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. Upon termination, you will lose access to your account and User Content.

10.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • At our sole discretion

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your User Content, but are under no obligation to do so. Sections of these Terms that by their nature should survive termination will survive, including but not limited to liability limitations, indemnification, and dispute resolution provisions.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SI Documents does not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your requirements

You acknowledge that you use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SI DOCUMENTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your User Content
  • Any conduct or content of any third party on the Service
  • Any other matter relating to the Service

IN NO EVENT SHALL SI DOCUMENTS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SI DOCUMENTS IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless SI Documents, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property rights
  • Your User Content

14. Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this document. We will notify you of material changes by posting a notice on the Service or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of such courts.

16.3 Dispute Resolution

Before filing any legal action, you agree to first contact us at brian.minter@mintechsoftware.com to attempt to resolve any dispute informally. Most disputes can be resolved this way.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the extent necessary to make it valid and enforceable while preserving the intent of the parties.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SI Documents regarding the Service and supersede all prior agreements and understandings, whether written or oral.

19. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
